Terms of Service — InVelocity

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and InVelocity ("we," "us," "our," or "Company"), governing your access to and use of InVelocity (the "Service"), available at https://invelocity.app.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. Your continued use after any changes constitutes acceptance of the revised Terms, subject to the notice provisions in Section 22.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and that all registration information you submit is truthful and accurate.

The Service is designed for business use by collectibles dealers and is not intended for personal consumer use by minors.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your account information.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities under your account.
  • Notify us immediately of any unauthorized use at [email protected].

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of Service

InVelocity is a software-as-a-service (SaaS) inventory management platform for collectibles dealers, including trading card games, sealed products, and other collectible items. The Service provides tools for:

  • Inventory tracking and management (quantities, conditions, pricing)
  • Marketplace integration (eBay, Shopify) for listing creation and synchronization
  • AI-powered card identification from photos
  • Pricing analytics and market trend analysis using third-party pricing data
  • Point-of-sale checkout for in-person transactions
  • Sales reporting and business intelligence

Features available to you depend on your subscription tier and inventory item count. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice for material changes.

5. Subscriptions and Billing

5.1 Payment Processing

All paid subscriptions are processed through Whop, Inc. ("Merchant of Record"). By purchasing a subscription, you also agree to Whop's terms of service and privacy policy, available at https://whop.com/terms and https://whop.com/privacy.

As Merchant of Record, Whop is responsible for processing payment transactions, managing sales tax collection and remittance, handling chargebacks and payment disputes, and PCI DSS compliance for payment card data.

We do not directly collect, store, or process your payment card information.

5.2 Subscription Plans

The Service uses usage-based pricing that scales with your total inventory item count. Current pricing tiers are available at https://invelocity.app/pricing. A free tier is available for users with 50 or fewer inventory items, with all features included.

5.3 Billing Cycle

Paid subscriptions are billed in advance on a recurring monthly basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize recurring charges to your payment method.

5.4 Price Changes

We reserve the right to change prices at any time. For existing subscribers, price changes take effect at the start of the next billing cycle following at least 30 days' written notice via email.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or through Whop's membership management interface. Upon cancellation, your subscription remains active until the end of the current billing period. You retain access to paid features until the period you paid for expires. After expiration, your account reverts to the free tier.

6. Free Trials

Free trials are not currently offered through self-service signup. Access to the Service is arranged through a consultation, and any trial or evaluation period — including its length and the terms on which it ends — will be described to you at that time.

If you began a free trial before August 5, 2026, the trial terms in effect when you enrolled continue to apply to that trial, including its stated length and, unless you cancel before the trial ends, automatic conversion to a paid subscription based on your inventory count at that time. You may cancel at any time before the trial ends using the methods described in Section 5.5.

7. Refund Policy

Refund requests are evaluated on a case-by-case basis and must be submitted within 7 days of the charge date. If you experience a technical issue preventing use of the Service, contact us at [email protected]. Partial-month refunds are not provided for mid-cycle cancellations. Refund processing is handled by Whop as Merchant of Record. Chargebacks initiated without first contacting us may result in account suspension.

8. Data Contribution and Market Intelligence

8.1 Optional Data Contribution (Opt-In)

You may choose to contribute anonymized data to InVelocity's Market Intelligence system. Participation is voluntary and can be enabled or disabled at any time in your account settings. If you opt in, contributed data may include:

  • Anonymized sales data (sale prices, sale dates rounded to day)
  • Anonymized cost basis information (acquisition costs)
  • Anonymized engagement metrics (views, watchers, days listed)

8.2 Data Anonymization

All contributed data is anonymized before being aggregated. Exact timestamps are truncated to date-only. Your personal information, store name, customer details, and identifying information are never shared with other users or third parties through Market Intelligence. Aggregate data is only published when a minimum number of independent contributors have reported data for a given product.

8.3 Purpose

Contributed data powers pricing recommendations, market trend calculations, velocity metrics, and demand forecasting for all users.

8A. Storefront Customer Accounts

8A.1 Customer Account Creation

InVelocity allows dealers ("Store Owners") to operate public storefronts where end customers ("Customers") can browse inventory, create accounts, make purchases, and submit trade-in requests. By creating a Customer account on any InVelocity-powered storefront, you agree to these Terms.

8A.2 Multi-Store Accounts

Your Customer account works across all InVelocity-powered storefronts. When you create an account on one storefront, you may use the same login credentials to access any other InVelocity-powered storefront. Each storefront you interact with is operated by an independent Store Owner.

8A.3 Information Shared with Store Owners

When you create a Customer account and interact with a storefront, the following information is shared with that Store Owner:

  • Account information: Your name, email address, and phone number (if provided).
  • Shipping address: Address information you provide during checkout.
  • Order history: Details of purchases you make from that specific store, including items, quantities, prices, and payment status.
  • Trade-in submissions: Items, photos, and notes you submit for trade-in evaluation.
  • Cart activity: Items you add to your cart at that store.

Each Store Owner only sees your activity on their storefront. Store Owner A cannot see your purchases or interactions with Store Owner B.

8A.4 Store Owner Responsibilities

Store Owners are independent businesses and are responsible for their own customer relationships, including fulfillment of orders, handling of returns, and compliance with applicable consumer protection laws. InVelocity is not responsible for the business practices of individual Store Owners.

8A.5 Payment Processing

Storefront purchases are processed through Stripe, Inc. via the Store Owner's connected Stripe account. InVelocity facilitates the checkout process but does not directly handle your payment card information. Your payment data is processed according to Stripe's privacy policy and terms of service.

8A.6 Customer Data Rights

You may exercise your data rights (access, deletion, correction) for your Customer account by contacting us at [email protected]. Deletion of your Customer account removes your profile information from all storefronts. Order records may be retained per our data retention schedule (Section 6 of our Privacy Policy) and as required for Store Owners' tax and legal compliance.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property rights of others.
  • Transmit defamatory, obscene, threatening, abusive, or hateful material.
  • Upload viruses, malware, or malicious code.
  • Attempt unauthorized access to the Service or other accounts.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without written permission.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Create multiple accounts to circumvent restrictions or bans.
  • Resell or redistribute access without authorization.
  • Use the Service to compete with InVelocity or build a competing product.

10. Intellectual Property

The Service, including its software, design, text, graphics, logos, and underlying code, is the property of InVelocity or its licensors and is protected by intellectual property laws. The InVelocity name, logo, and related marks are trademarks of InVelocity.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

11. User Content

You retain all ownership rights to content you submit, including inventory data, product photos, listing descriptions, and business records. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, store, and display your content solely for the purposes of operating, improving, and providing the Service. This license terminates when you delete your content or account, except for anonymized data already contributed to Market Intelligence per Section 8.

12. AI-Generated Content and Automated Processing

12.1 AI Features

The Service incorporates artificial intelligence ("AI") features powered by third-party AI providers, including:

  • OpenAI, L.L.C. ("OpenAI") — Primary AI provider for card identification, pricing analysis, listing content generation, and product matching.
  • Anthropic, PBC ("Anthropic" / "Claude AI") — Secondary/fallback AI provider for the same capabilities.

12.2 Disclaimers

AI-generated content — including card identifications, pricing suggestions, listing descriptions, and product matches — is provided for informational and productivity purposes only and does not constitute professional, financial, or investment advice. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for reviewing and verifying all AI-generated output before relying on it for business decisions. You assume all risk associated with any reliance on AI-generated content.

12.3 Data Processing

When you use AI features, your data (including product photos and inventory information) may be transmitted to OpenAI and/or Anthropic for processing. These providers process data under their respective API data usage policies and do not use API data to train their models. See our Privacy Policy for details.

13. Third-Party Services and Integrations

The Service integrates with third-party services including but not limited to eBay, Shopify, TCGPlayer, Firebase, and Cloudinary. Your use of these integrations is subject to those platforms' respective terms of service and privacy policies. We are not responsible for the practices, terms, or privacy policies of third parties. When you connect a third-party marketplace account (eBay, Shopify), you authorize InVelocity to access, create, update, and manage listings and synchronize data on your behalf.

14. Communications

14.1 Administrative Communications

By creating an account, you agree to receive administrative communications including product updates, feature announcements, service changes, maintenance notifications, security alerts, and policy updates. These are essential to the operation of your account and are not marketing communications.

14.2 Marketing Communications

Promotional marketing communications are separate. You may opt out of promotional marketing at any time without affecting receipt of essential administrative communications.

15. Privacy

Our collection and use of your personal information is described in our Privacy Policy at https://invelocity.app/privacy, incorporated herein by reference.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: the Service will be uninterrupted, error-free, or secure; that defects will be corrected; that pricing recommendations will result in sales or accurate market valuations; that AI-powered card identifications will be correct; or that the Service or servers are free of viruses or other harmful components.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVELOCITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SALES, BUSINESS INTERRUPTION, OR LOSS OF DATA.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) FIFTY DOLLARS ($50).

18. Indemnification

You agree to defend, indemnify, and hold harmless InVelocity and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) content you submit through the Service, including marketplace listings.

19. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data prior to termination. Sections 10, 11, 12, 16, 17, 18, 20, and 21 survive termination.

20. Dispute Resolution

20.1 Informal Resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

20.2 Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Texas. The arbitrator's decision shall be final and binding.

20.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

21. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Texas.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes via email or in-app notification. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance.

23. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

24. Entire Agreement

These Terms, along with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and InVelocity regarding the Service.
