# INVELOCITY TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING INVELOCITY, YOU AGREE TO BE BOUND BY THESE TERMS.
## 1. ACCEPTANCE OF TERMS
By creating an account, accessing, or using InVelocity ("Service"), available at https://go.invelocity.app, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
## 2. ELIGIBILITY
You must be at least 18 years of age to use the Service. By using the Service, you represent that you are at least 18, have the legal capacity to enter into these Terms, and that all registration information you submit is accurate. The Service is designed for business use by collectibles dealers.
## 3. SERVICE DESCRIPTION
InVelocity is an inventory management platform for collectibles dealers, including trading card games, sealed products, and other collectible items. The Service provides:
- Inventory tracking and management (quantities, conditions, pricing)
- Marketplace integration (eBay, Shopify) for listing creation and synchronization
- AI-powered card identification from photos
- Pricing analytics and market trend analysis
- Point-of-sale checkout for in-person transactions
- Sales reporting and business intelligence
Features available to you depend on your subscription tier and inventory item count.
## 4. DATA CONTRIBUTION AND MARKET INTELLIGENCE
### 4.1 Mandatory Data Sharing
By using the Service, you agree to contribute anonymized data to InVelocity's Market Intelligence system. This includes:
- Anonymized sales data (sale prices, sale dates)
- Anonymized cost basis information (acquisition costs)
- Anonymized engagement metrics (views, watchers, days listed)
### 4.2 Data Anonymization
All contributed data is anonymized before being aggregated. Your personal information, store name, customer details, and identifying information are NEVER shared with other users or third parties through Market Intelligence.
### 4.3 Purpose of Data Collection
Contributed data is used to:
- Provide pricing recommendations and market insights
- Calculate market trends and velocity metrics
- Improve the accuracy of suggested pricing
- Build aggregate market intelligence for all users
### 4.4 Benefits
In exchange for data contribution, you receive:
- Access to community-aggregated pricing data
- Enhanced pricing recommendations
- Market trend analysis
- Velocity and demand forecasting
## 5. SUBSCRIPTIONS AND BILLING
### 5.1 Payment Processing
All paid subscriptions are processed through Whop, Inc. ("Merchant of Record"). By purchasing a subscription, you also agree to Whop's terms of service and privacy policy. We do not collect, store, or process your payment card information.
### 5.2 Usage-Based Pricing
The Service uses usage-based pricing that scales with your total inventory item count. A free tier is available for users with 50 or fewer items, with all features included. Current pricing is available at https://invelocity.app/pricing.
### 5.3 Free Trial
New accounts receive a 7-day free trial with all features unlocked. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan based on your inventory count. Free trials are limited to one per user.
### 5.4 Billing Cycle and Auto-Renewal
Paid subscriptions are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize recurring charges.
### 5.5 Cancellation
You may cancel your subscription at any time through your account settings or through Whop. Upon cancellation, access continues until the current billing period expires, then reverts to the free tier.
### 5.6 Price Changes
We reserve the right to change prices with at least 30 days' written notice via email. Changes take effect at the start of the next billing cycle.
## 6. REFUND POLICY
Refund requests must be submitted within 7 days of the charge date to support@invelocity.app. Refunds are evaluated on a case-by-case basis and processed through Whop. No partial-month refunds for mid-cycle cancellations. Chargebacks initiated without first contacting us may result in account suspension.
## 7. USER ACCOUNTS
### 7.1 Account Creation
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.
### 7.2 Account Responsibility
You are responsible for all activities under your account. Notify us immediately of any unauthorized use at support@invelocity.app.
## 8. ACCEPTABLE USE
You agree NOT to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to any systems
- Interfere with or disrupt the Service
- Upload malicious code or content
- Misrepresent your identity or affiliation
- Scrape, harvest, or collect data without authorization
- Reverse-engineer, decompile, or disassemble any part of the Service
- Create multiple accounts to circumvent restrictions
- Resell or redistribute access without authorization
- Use the Service to compete with InVelocity or build a competing product
## 9. INTELLECTUAL PROPERTY
### 9.1 Service Ownership
InVelocity and its original content, features, and functionality are owned by InVelocity and protected by intellectual property laws.
### 9.2 User Content
You retain ownership of content you upload but grant InVelocity a worldwide, non-exclusive, royalty-free license to use, store, and process it as necessary to provide the Service. This license terminates when you delete your content or account, except for anonymized data contributed to Market Intelligence.
## 10. AI-GENERATED CONTENT
The Service uses artificial intelligence powered by OpenAI (primary) and Anthropic (fallback) for card identification, pricing analysis, listing content generation, and product matching.
AI-generated content is provided for informational and productivity purposes only and does not constitute professional, financial, or investment advice. We do not guarantee the accuracy of AI output. You are responsible for reviewing all AI-generated content before relying on it. You assume all risk from reliance on AI-generated content.
When you use AI features, product photos and inventory data may be transmitted to these providers for processing under their API data usage policies.
## 11. THIRD-PARTY INTEGRATIONS
The Service integrates with third-party platforms (eBay, Shopify, TCGPlayer, Firebase, Cloudinary, and others). Your use of these integrations is subject to those platforms' terms of service. When you connect a marketplace account, you authorize InVelocity to access, create, update, and manage listings on your behalf.
## 12. COMMUNICATIONS
### 12.1 Administrative Communications
By creating an account, you agree to receive administrative communications from InVelocity, including product updates, feature announcements, service changes, maintenance notifications, security alerts, and policy updates. These are essential to your account and are not marketing communications.
### 12.2 Marketing Communications
You may opt out of promotional marketing at any time without affecting essential administrative communications.
## 13. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:
- The Service will be uninterrupted or error-free
- Pricing recommendations will result in sales or accurate market valuations
- AI-powered card identifications will be correct
- Market data will be completely accurate
## 14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVELOCITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) $50.
## 15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless InVelocity from any claims arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of third-party rights; or (d) content you submit through the Service.
## 16. TERMINATION
We may terminate or suspend your account at any time for any reason. Upon termination, your right to use the Service ceases immediately. Sections 9, 10, 13, 14, 15, 17, and 18 survive termination.
## 17. DISPUTE RESOLUTION
Before filing a claim, attempt informal resolution by contacting support@invelocity.app (30-day window). If unresolved, disputes shall be resolved by binding arbitration under AAA Consumer Arbitration Rules in Texas. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS.
## 18. GOVERNING LAW
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
## 19. CHANGES TO TERMS
We may modify these Terms at any time with at least 30 days' notice for material changes via email or in-app notification. Continued use after changes constitutes acceptance.
## 20. PRIVACY
Our collection and use of your information is described in our Privacy Policy at https://invelocity.app/privacy, incorporated by reference.
